Welcome to MelloHello.

These Terms shall govern your use of MelloHello mobile application, as available on Google Play Store and Apple App Store (hereinafter referred to as the "App" or "Platform").

This App is owned and operated by:

In these Terms, Mellohello Limited is referred to as "we", "us", "our", or the "Company". When we mention "you", "your", or "user", we mean any person who accesses, registers, or uses the MelloHello App for personal and social purposes.

Thank you for choosing to use MelloHello. We're excited to have you here. Our App is built to help people in New Zealand connect with others who share similar interests. Whether you want to join a community, chat with someone new, or attend an event, MelloHello makes it easy and enjoyable to meet people and build real-life connections through shared activities.

These Terms of Use apply to all personal users of the MelloHello app. If you decide to advertise a business, you will need to follow our separate Business Terms of Service.

IMPORTANT NOTICE:

PLEASE READ THESE TERMS OF USE CAREFULLY. THESE TERMS INCLUDES IMPORTANT PROVISIONS THAT MAY AFFECT YOUR RIGHTS, INCLUDING DISCLAIMERS IN SECTION 13, A FORCE MAJEURE CLAUSE IN SECTION 14, LIMITATIONS OF LIABILITY IN SECTION 15, INDEMNIFICATION OBLIGATIONS IN SECTION 16, AND A DISPUTE RESOLUTION CLAUSE IN SECTION 17 THAT REQUIRES YOU TO FIRST ATTEMPT AN AMICABLE SETTLEMENT AND THEN SUBMIT TO THE JURISDICTION OF THE COURTS IN TAURANGA, NEW ZEALAND. THESE TERMS ALSO INCLUDE A WAIVER OF CLASS ACTION RIGHTS. BY DOWNLOADING, ACCESSING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS IN FULL. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE APP OR OUR SERVICES.

Please read these Terms carefully, as these, along with our Cancellation & Refund Policy, Community Guidelines, and Privacy Policy, forms the entire agreement between you and MelloHello. If you do not accept these Terms in its entirety, then you may not use the App or any of our services.

1. ACCEPTANCE OF THESE TERMS OF USE

By downloading or installing our App, or by accessing or using the App or our website, or by registering an account on our platform, or by engaging with our Services, or by clicking on a button or taking similar action to signify your affirmative acceptance of these Terms, you hereby represent that:

  • You have read, understood, and agreed to be bound by these Terms and any future updates and additions to these Terms, as published from time to time on our App.
  • You are of sound mind, at least 18 years in age, living in New Zealand, and otherwise competent to form a binding contract with us. By using the website, you represent and warrant that you meet all of the foregoing eligibility requirements.
  • We must not have previously disabled your account for violation of law or any of our policies.
  • You have read, understood, and consented to our Community Guidelines, Cancellation & Refund Policy, as well as our Privacy Policy statement.

2. ACCOUNT REGISTRATION

  • Creating an Account: You must create an account to use the features of the MelloHello App. This includes joining communities, sending requests, messaging others, and viewing events. When signing up, you must provide correct and complete information. This helps keep the App safe and ensures smooth communication between users. You must be at least 18 years old to create an account on the App. We do not allow users under this age under any circumstances.
  • One Account Per Person: You must only create one personal account. Having multiple accounts for the same individual may result in all your accounts being suspended or removed.
  • Responsibility for Your Account: You are responsible for keeping your account login details safe. Do not share your password with anyone. If you suspect someone else is using your account, please let us know immediately.
  • Updating: If your information changes (like your email address), you must update it in your profile to make sure we can still contact you if needed.
  • Business Features: If you want to use business features such as advertising, you can upgrade your existing personal account by providing business-related details. You do not need to create a separate account for this. But you must also abide by our Business Terms of Service.
  • Account Termination: We reserve the right to suspend or terminate your account at any time, with or without notice, if you violate these Terms of Use or engage in any activities that harm the platform or its users. You may also delete your account by contacting us at info@mellohello.co.nz.

3. ALLOWED USES OF THE APP

Here's what you're allowed to do on the platform:

  • Connecting Over Shared Interests: You can use the App to find and connect with other users who share similar hobbies, activities, or interests.
  • Joining Communities: You are allowed to search for, join, and participate in community groups related to activities you enjoy.
  • Creating Communities or Events: You may create your own communities or events within the App so others can discover and join them.
  • Sending and Accepting Requests: You can send connection requests to other users and accept requests from others who want to connect with you.
  • Messaging Other Users: You can chat with users once a connection is accepted. All communication must remain respectful and within the App's rules.
  • Using the App for Personal Use: You may use the App for personal and social reasons as intended - to meet people, share event ideas, and grow your network of activity partners.
  • Upgrading to Business Use: If you are a business, you may advertise through the App by upgrading your account and agreeing to the Business Terms of Service.
  • Using Available Features: You are welcome to explore and use all features that are available to you based on your user type (personal or business), as long as they are used in a lawful and fair way.
  • Personal Information: Whenever prompted, you must provide us with the correct, accurate, and updated information. These will be handled in accordance with the Privacy Policy statement posted on our website and App.

4. COMMUNITY GUIDELINES

You must also follow our Community Guidelines while using the App. These guidelines are here to help keep all conversations, groups, and events respectful, inclusive, and enjoyable for everyone. Whether you're messaging someone directly or posting in a community, you must treat others with kindness, avoid offensive content, and help us maintain a space where people feel safe and welcome.

Failure to follow the Community Guidelines may result in warnings, restricted access, or removal from the App.

5. PROHIBITED USES

Here's what you're not allowed to do on the platform:

  • Use by Minors: You must not use the App if you are under 18 years old. The App is strictly for adult users. Even if a parent or guardian gives permission, underage users are not allowed on MelloHello.
  • Impersonation and False Identity: You are not allowed to pretend to be someone else, whether it's another person, a celebrity, or a business. Creating fake profiles, using stolen photos, or providing false information in your account is not permitted.
  • Nudity, Sexual, or Inappropriate Content: You must not post, share, or send any form of nudity, sexually explicit images or messages, or content that is sexual in nature. This includes profile photos, community posts, and private messages. MelloHello is not a dating or hookup app, and we do not allow any sexual conduct, suggestive talk, or behaviour that makes others feel uncomfortable.
  • Harassment, Threats, or Bullying: You are strictly prohibited from using the App to bully, harass, threaten, or intimidate anyone. This includes sending unwanted messages, making others feel unsafe, or trying to control or shame them. Disrespectful behaviour in chats, community groups, or event spaces will not be tolerated.
  • Discrimination or Hate Speech: You may not post or promote any content that insults or targets someone based on their race, religion, gender, sexual orientation, disability, nationality, or any other personal characteristic. Hate speech, offensive jokes, or sharing symbols related to hate groups is completely banned.
  • Violence, Self-Harm, or Dangerous Acts: You must not encourage, promote, or threaten any kind of violence - whether against others or yourself. This includes talking about physical fights, promoting harmful behaviour, or glorifying suicide or self-harm. We take such matters seriously and will take immediate action if we are made aware.
  • Illegal Drugs, Substances, and Criminal Activity: You cannot use the App to talk about, promote, or offer illegal drugs or substances. Any attempt to organize or discuss illegal activities - including theft, vandalism, fraud, or hacking - is strictly forbidden.
  • Scams, Fraud, or Misleading Behaviour: You must not trick or mislead users for personal gain. This includes pretending to be a business, sending fake offers or promotions, asking for money or personal information under false pretenses, or any kind of scam behaviour.
  • Spam and Unwanted Messages: Sending repeated, unwanted, or irrelevant messages to other users or in groups is not allowed. Promoting unrelated services or flooding others' inboxes with promotional content will be treated as spam.
  • Promotion of Adult Services or Gambling: You are not allowed to promote or offer adult services, escort services, gambling, betting apps, or anything similar. MelloHello is not meant for such use and does not allow any promotion or advertisement of such services.
  • Sharing Private Information of Others: You must not post or share someone else's private information without their permission. This includes names, phone numbers, addresses, or any other personally identifiable data. Even screenshots of chats that include private content may be a violation.
  • Political or Religious Extremism: You are free to hold your beliefs, but you may not use the App to promote extreme political agendas, religious radicalism, or engage in arguments that may provoke hate, fear, or division within the community.
  • Shocking, Graphic, or Offensive Content: Any content that is overly violent, graphic, disturbing, or designed to shock or offend others is not allowed. This includes bloody images, animal cruelty, or disturbing stories posted for shock value.
  • Bypassing Rules or Restrictions: You must not try to find ways to trick, bypass, or work around our rules, moderation filters, or content warnings. If you find a loophole or bug, report it to us rather than misuse it.
  • Disruption of App Services: You may not try to hack, overload, or interfere with the smooth working of the App. This includes attempting to reverse-engineer our systems, use bots, scrape data, or overload servers.
  • Transferring or Selling Accounts: Your MelloHello account is personal to you. You are not allowed to sell, rent, or give your account to another person or use someone else's account.
  • Unapproved Business Promotions: If you are a business, you must follow our Business Terms of Service before posting any advertisements. Business ads or promotions posted without proper registration and approval are not allowed.

6. SAFETY TIPS

While MelloHello is designed to help you meet like-minded people and join interest-based communities, your safety - both online and offline - is very important to us. These safety tips are here to guide you on how to use the App wisely and protect yourself while connecting with others.

  • Protect your personal information: Never share your home address, phone number, banking details, or account passwords with anyone on the App. Keep conversations within the App, and avoid giving out private details unless you fully trust the person and feel safe doing so.
  • Take your time getting to know someone: You're never required to meet anyone or share anything you're not comfortable with. Use the App's chat features to slowly build trust. If someone pushes you or seems too eager, it's okay to end the conversation and move on.
  • Be cautious of fake profiles and scams: Not every profile on the App may be genuine. Watch out for users who try to gain your trust quickly, ask personal questions too soon, or try to move the conversation outside the App. Never send money or share banking details, no matter how convincing someone sounds.
  • Meet in public places: If you choose to meet someone in real life, always meet in a public, well-lit place like a cafĂ©, park, or group event. Let someone you trust know where you're going, who you're meeting, and when you expect to return.
  • Think before sharing media: Be careful when sending photos or videos, even in private messages. Once you share something, you lose control over how it may be used. If someone asks for personal images or makes you feel pressured, that's a red flag.
  • Trust your instincts: If something feels wrong, makes you uncomfortable, or feels too good to be true, it probably is. Listen to your gut. You can block or report anyone directly through the App or by emailing us at info@mellohello.co.nz.
  • Stay alert in communities and group chats: Community spaces should feel welcoming and safe. Avoid oversharing and be aware of users who act inappropriately or try to steer the conversation into uncomfortable areas. MelloHello does not review every message, so please remain cautious and report anything that seems off.
  • Respect others and expect respect in return: MelloHello is a place to build positive connections. Be kind, patient, and respectful in your conversations, and don't tolerate rudeness, pressure, or judgment from others.
  • Don't share your account: Your MelloHello account is personal. Letting someone else use it could put your safety and privacy at risk and is not allowed.
  • Report bad behaviour: If you experience or witness anything unsafe, inappropriate, or harmful, report it using the App's built-in tools or by contacting us directly. We take reports seriously and will take the necessary steps to keep our users safe.

Remember, while we've built MelloHello to be a positive and respectful space, we do not screen all content or conversations. Your safety depends on your choices, so always stay aware and look out for yourself and others.

7. MODERATION

We want MelloHello to be a space where people feel safe, respected, and free to connect. While we provide tools for users to report issues, we do not monitor every message, profile, or post in real-time. We rely on users to help us keep the App safe by reporting inappropriate behaviour, harmful content, or violations of our Terms or Community Guidelines.

If something is reported, we review it carefully and take action based on the situation. This may include removing content, warning users, suspending accounts, or permanently banning someone from the App. In serious cases, we may also report the matter to the relevant authorities.

We reserve the right to review accounts and content at any time, with or without prior notice, especially if we suspect violations. Our decisions are final in matters of moderation, and we are not obligated to provide explanations for every action taken.

While we aim to act fairly and quickly, users are responsible for their own conduct on the App. If you feel unsafe or believe someone is not following the rules, please report it to us through the App or contact info@mellohello.co.nz.

8. UPDATES AND MODIFICATIONS TO FEATURES

We are constantly working to improve the App and may, at our sole discretion, introduce new features, enhance existing ones, or remove parts of the App entirely. These updates may be made for technical, operational, security, legal, or business reasons. We are not obligated to provide notice before making such changes, and we are not responsible if any part of the App becomes temporarily or permanently unavailable as a result. Some updates may be automatic, and you agree that we have the right to apply these updates without requiring additional consent. By continuing to use the App after any update or modification, you accept and agree to the changes. We are not liable for any loss of access, data, or functionality resulting from updates, and we do not guarantee that all features will be maintained or supported at all times.

9. INTELLECTUAL PROPERTY

  • Ownership of Content and Services: All content featured or displayed on the MelloHello App and website, including, but not limited to, text, graphics, photographs, images, moving images, sound, illustrations, software, calculators, algorithms, and all other materials, as well as the trademarks, logos, and service marks (collectively, "Content"), are owned by Mellohello Limited, its licensors, or its content providers. The design, structure, selection, coordination, expression, "look and feel", and arrangement of such Content, contained on the App, are owned by the Company, and are protected by copyright, patent, and trademark laws, and various other intellectual property rights and unfair competition laws.
  • Use of MelloHello Content: The Content provided on MelloHello is available to you for your information and personal use only. It is not allowed to be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. The Company reserves all rights not expressly granted in and to the App, website, and the Content.
  • Content Posted By You: You retain ownership of the content you create and post on the App, such as your profile picture, community posts, or event descriptions. However, by posting or sharing content on the App, you give us a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and distribute that content within the App and in connection with promoting MelloHello. This license ends when you delete your content or your account, except for content already shared or used in ways that cannot be reasonably undone.
  • User Responsibility for Uploaded Content: You are responsible for making sure that the content you upload does not infringe on someone else's intellectual property rights. If you post content that does not belong to you or for which you don't have permission, you may be legally responsible, and we may take action on your account.
  • Respect for Others' Content: You must not use, copy, or share any content posted by other users unless you have their clear permission. This includes photos, text, event details, or anything else shared through the App. Respecting others' content is part of keeping our community honest and fair.
  • No Use of Our Brand Without Permission: You are not allowed to use the MelloHello name, logo, or any branding in a way that could confuse others, suggest an official connection, or make it look like you're representing us unless we have given you written approval. This includes using our name in your group titles, promotional materials, or business listings.
  • Protection of Intellectual Property: The Company respects the intellectual property rights of others and expects users of the App to do the same. The Company may, in appropriate circumstances and at its discretion, disable or terminate the accounts of users who may be repeat infringers. To report infringement, please follow the procedure laid down in our Intellectual Property Infringement Claims Notice posted on our website and/or App.
  • User Feedback: Any feedback you provide to the Company will be considered non-confidential and non-proprietary. By providing any feedback, you grant MelloHello and its affiliates a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

11. SUBSCRIPTION AND PAYMENT TERMS

  • Free Trial for New Users: When you first sign up on MelloHello, you will receive one month of free access to the full features of the App. During this time, you can explore communities, send messages, create events, and enjoy all standard features without being charged.
  • Paid Subscription After Trial: After your free trial ends, you will need to subscribe to continue using the App. The subscription fee is a small recurring charge that gives you continued access to all personal user features. You will be notified in advance before your free trial ends and asked to confirm your payment details to continue.
  • How Payments Work: Subscription payments are collected through the App using secure third-party payment systems. By providing your payment details, you authorise us to charge your selected payment method on a recurring basis unless you cancel your subscription.
  • Cancellation Policy: You can cancel your subscription at any time. If you cancel within the first week of starting your paid subscription, you will not be charged. If you cancel after the first week, your current subscription will remain active until the end of your billing period, after which it will not renew. You will still be able to use your personal account, but you will lose access to subscription-only features. Please refer to our Cancellation & Refund Policy for more detail.
  • Changes to Subscription Fees: We may change the subscription price in the future, but you will always be informed in advance. Any changes to pricing will only take effect at the start of your next billing cycle, giving you time to cancel if you do not agree with the new rate.
  • Issues with Payment: If your payment fails or cannot be processed, we may suspend or limit your access to certain features until the issue is resolved. You will be notified if your subscription is paused due to payment issues.
  • Reservation of Right: We reserve the right to modify, suspend, or revoke any promotional offers, including free trials, at any time and for any reason, without prior notice. These offers are provided at our sole discretion and may be changed or withdrawn from time to time, including for specific users or user groups, without creating any ongoing entitlement or obligation on our part.

12. THIRD-PARTY LINKS

The MelloHello App may contain links to third-party websites, apps, or services that are not owned or controlled by us. These links are provided for your convenience, such as for accessing shared resources, community events, or external content. However, we do not review, monitor, or take responsibility for the content, privacy practices, or terms of use of these third-party sites. If you choose to visit or interact with any third-party link, you do so at your own risk. We do not endorse or guarantee the quality, safety, or reliability of any third-party service, and your use of those platforms is subject to their own rules and policies. We encourage you to read their terms and privacy policies before sharing any personal information or making use of their services.

13. DISCLAIMER

By using MelloHello, users acknowledge and agree to the following disclaimers:

  • Use at Your Own Risk: MelloHello is a platform designed to help users connect over shared interests, join communities, and attend events. While we work hard to provide a positive and secure experience, your use of the App is entirely at your own risk. We cannot control how other users behave, what they post, or what takes place in private conversations or real-world meetings. You are solely responsible for your interactions, decisions, and actions on and off the App.
  • No Guarantee of Matches or Outcomes: We do not promise that you will find suitable connections, build successful friendships, or attend events that meet your expectations. MelloHello simply provides the tools - how you use them is up to you. Any outcomes from using the App, including forming relationships or attending activities, are entirely at your discretion.
  • No Responsibility for User Content: We do not pre-approve or monitor all user-generated content, including profiles, community posts, messages, or event listings. While we provide tools for reporting inappropriate content, we cannot guarantee it will be removed immediately - or at all. We are not responsible for any harm, misunderstanding, or offensive material you may encounter while using the App.
  • No Liability for Real-World Interactions: If you choose to meet someone you connected with on MelloHello, you do so voluntarily and at your own risk. We are not involved in the planning, hosting, or supervision of in-person events or meetings. We are not liable for anything that happens during or after such interactions, including physical, emotional, or financial harm.
  • No Endorsement of Users or Communities: We do not endorse any individual user, community, group, or event. The presence of a profile or listing on the App does not mean that we have verified, approved, or reviewed it. You should always use your own judgment when deciding whether to trust or engage with others on the platform.
  • No Professional Advice: MelloHello is not a platform for professional, medical, legal, or psychological advice. Any guidance, opinions, or information shared by users, including group leaders or community members, should not be treated as expert advice. We are not responsible for decisions you make based on such information.
  • No Guarantee of Accuracy or Timeliness: We do not guarantee that all information on the App - including profile details, event listings, or group content - will be accurate, complete, or up to date. You are responsible for confirming details before relying on them or making decisions based on them.
  • App Features May Change: We may add, modify, limit, or remove any part of the App or its features at any time without prior notice. We are not responsible for any disruption or inconvenience this may cause.
  • Not Liable for Technical Issues: We aim to keep the App running smoothly, but we are not responsible for any interruptions, errors, outages, delays, or lost data resulting from technical issues, maintenance, or failures outside our control.
  • Delays in Moderation or Enforcement: While we encourage users to report inappropriate content or behaviour, we cannot promise that all reports will be reviewed immediately. We do not guarantee any specific outcome or action in response to a report, and we are not liable for harm that occurs during any delay or lack of action.

14. FORCE MAJEURE

We are not liable for any delay, disruption, or failure to perform our obligations under these Terms if it is caused by events beyond our reasonable control. This includes but is not limited to internet or mobile network outages, cloud service or server failures, cyberattacks or data breaches affecting the platform, power outages that impact our systems, natural disasters such as floods, earthquakes, or storms that damage critical infrastructure, or government-imposed restrictions, legal orders, or changes in law that prevent us from operating the App. In such situations, access to the App or certain features may be limited, paused, or permanently affected without prior notice.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Mellohello Limited and its directors, employees, and partners will not be held responsible for any direct, indirect, incidental, special, or consequential losses or damages arising out of your use of the MelloHello App. This includes, but is not limited to, loss of data, loss of reputation, emotional distress, personal injury, property damage, or financial loss resulting from your interactions with other users, your participation in events, your reliance on information or content within the App, or your use of any features or services offered. We do not accept responsibility for the actions, content, or conduct of other users on the platform, and we are not liable for any harm caused by misleading, offensive, illegal, or inappropriate behaviour or content. Additionally, we are not responsible for any disruption, delay, or inability to use the App due to technical issues, system errors, or events outside our control. By using the App, you understand and agree that your use is at your sole risk, and that the App is provided on an "as-is" and "as-available" basis without warranties of any kind.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our gross negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be lawfully excluded or limited under the laws of New Zealand. If any part of this Limitation of Liability is found to be unlawful or unenforceable, the remaining provisions shall continue to apply in full force.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Mellohello Limited and its directors, employees, and partners will not be held responsible for any direct, indirect, incidental, special, or consequential losses or damages arising out of your use of the MelloHello App. This includes, but is not limited to, loss of data, loss of reputation, emotional distress, personal injury, property damage, or financial loss resulting from your interactions with other users, your participation in events, your reliance on information or content within the App, or your use of any features or services offered. We do not accept responsibility for the actions, content, or conduct of other users on the platform, and we are not liable for any harm caused by misleading, offensive, illegal, or inappropriate behaviour or content. Additionally, we are not responsible for any disruption, delay, or inability to use the App due to technical issues, system errors, or events outside our control. By using the App, you understand and agree that your use is at your sole risk, and that the App is provided on an "as-is" and "as-available" basis without warranties of any kind.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our gross negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be lawfully excluded or limited under the laws of New Zealand. If any part of this Limitation of Liability is found to be unlawful or unenforceable, the remaining provisions shall continue to apply in full force.

16. INDEMNIFICATION

By using the MelloHello App, you agree to fully indemnify, defend, and hold harmless Mellohello Limited, including its directors, employees, affiliates, and service providers, from and against any and all claims, liabilities, damages, losses, demands, costs, and expenses (including reasonable legal fees) that arise from:

  • your use or misuse of the App, including your participation in any communities, events, chats, or offline meetups arranged through the App;
  • your violation of these Terms of Use, our Community Guidelines, or any applicable laws or regulations;
  • your content, posts, or conduct that infringes, misuses, or violates the rights of any third party, including intellectual property, privacy, or publicity rights;
  • your interactions or disputes with other users, including any claims of harm, injury, harassment, or misrepresentation;
  • any use of your account by another person where you have allowed access or failed to keep your login details secure.

This indemnity obligation continues even after you stop using the App and applies to all claims, whether made directly against us or brought by third parties.

17. GOVERNING LAW AND DISPUTE RESOLUTION

  • Governing Law: The Terms and any dispute arising from the same will be governed by applicable laws of New Zealand, except for its conflict of law provisions.
  • Amicable Settlement: If a dispute arises between you and Mellohello Limited, we strongly encourage you to contact us first at info@mellohello.co.nz so that we can try to resolve the issue informally and in good faith. Most user concerns can be resolved quickly and without the need for formal legal proceedings.
  • Injunctive Relief: Nothing specified in Section 17(ii) above shall affect either party's right to apply for an injunctive order of urgent nature from any court of competent jurisdiction.
  • Jurisdiction: If the dispute cannot be resolved amicably within the 30-day period, the dispute shall be submitted to the jurisdiction of the courts located in Tauranga, New Zealand.
  • No Class Actions: The user and the Company agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, collective, or representative action. Both parties waive the right to participate in or bring class actions.
  • Continuation of Service: Pending the resolution of any dispute, the user agrees to continue abiding by all the terms mentioned in these Terms of Use.

18. DISPUTES BETWEEN USERS

MelloHello is a platform that enables users to connect, communicate, and interact independently. We are not a party to any personal, group, or event-related interactions that take place through the App, whether online or offline. If a disagreement, misunderstanding, or conflict arises between you and another user, you are solely responsible for resolving it directly with that user. We do not mediate, monitor, or get involved in user disputes and are not liable for any loss, harm, injury, or damage that results from such conflicts. This includes but is not limited to verbal disagreements, inappropriate conduct, false information, cancelled events, or any real-life interactions arranged through the App. By using the App, you release Mellohello Limited from all claims, demands, and damages arising from disputes with other users.

19. NOTICES

All notices or communications required under these Terms must be made in writing. If we need to contact you, we may do so through the email address associated with your MelloHello account, via in-App notifications, or by posting a notice on the App itself. These communications will be considered received by you immediately upon sending (in the case of email or in-App notification) or upon publication (in the case of a posted notice). It is your responsibility to keep your contact details up to date. If you need to send a legal notice to us, you must do so by email to info@mellohello.co.nz or by post to our registered office at Suite 14980, 17B Farnham Street, Parnell, Auckland 1052, New Zealand. Notices sent to us will be deemed received when confirmed by written acknowledgement or within five business days of delivery if sent by registered post.

20. MISCELLANEOUS

  • Advertisement: We reserve the right to display advertisements within the MelloHello App, including around user content, community pages, and general features, regardless of whether you are using the free or paid version of the App. Subscribing to a paid plan does not guarantee an ad-free experience unless explicitly stated at the time of subscription. Ads help support the ongoing maintenance and development of the App, and their presence does not imply any endorsement by MelloHello of the advertised products or services.
  • Independent Legal Advice: By using the App and agreeing to these Terms, you confirm that you understand the contents of these Terms and are entering into this agreement voluntarily. You also acknowledge that you have had the opportunity to seek independent legal advice before agreeing, and that you are not relying on any representations made by us outside of what is written in these Terms.
  • Headings: The section titles and headings used in these Terms are only for reference and convenience. They do not affect the meaning or interpretation of any part of the Terms.
  • Breach: If you violate these Terms of Use or engage in any activity that we believe is harmful, illegal, abusive, or against the purpose of the App, we may take immediate action without prior notice. This may include suspending or permanently disabling your account, revoking access to premium features without refund, removing any content you have shared, or reporting the matter to relevant authorities if required. The decision to take such action rests entirely with us, and we are not liable for any loss or inconvenience caused to you as a result.
  • Severability: If any part of these Terms is found to be unlawful, invalid, or unenforceable under applicable law, that part will be removed or limited to the extent necessary, and the rest of the Terms will continue to remain in full force and effect.
  • Waiver: If we do not enforce a particular right or part of these Terms at any time, it does not mean we are giving up that right. Any waiver must be clearly stated in writing to be legally effective.
  • Survival: Any parts of these Terms that are intended to remain in effect even after your use of the App ends - including but not limited to provisions related to liability, disclaimers, indemnity, and dispute resolution - will continue to apply after termination.
  • No Third-Party Beneficiaries: Except as otherwise expressly provided in these Terms of Use, there shall be no third-party beneficiaries to these Terms of Use.
  • No Assignment: You cannot transfer or assign your rights or obligations under these Terms to anyone else without our prior written consent. We may transfer our rights and obligations to another company as part of a business restructuring, merger, or sale, without needing your consent.
  • Entire Agreement: The Terms, Community Guidelines, Cancellation & Refund Policy, and Privacy Policy, and any additional terms and conditions incorporated herein or referred to herein constitute the entire agreement between MelloHello and you, relating to the subject matter hereof, and supersedes any prior understanding or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on our website/App.
  • Updates to these Terms: We may update these Terms of Use from time to time to reflect changes in our services, legal requirements, or business operations. When we make changes, we will post the updated Terms within the App or on our website, or may also notify you by email or through a notice in the App. It is your responsibility to review the Terms regularly. By continuing to use the App after the updated Terms have been published, you agree to be bound by those changes. If you do not agree with the revised Terms, you should stop using the App immediately.
