These Business Terms of Service (referred to as "Business Terms") apply to all users who wish to advertise their business or use any business-related features within the MelloHello App.

MelloHello allows users to create a business page, share business-related posts, receive inquiries from interested users, and access promotional tools and features. However, these services are offered subject to our approval, and we reserve the right to limit, moderate, or remove any business content or listing that violates our guidelines, applicable laws, or the spirit of our community.
By registering a business page, submitting business information, or using the App to advertise or promote any goods or services, you are agreeing to be bound by these Business Terms. These apply in addition to our Terms of Use, which continue to apply to all your general use of the App as a regular user. You must read and accept both documents to use any part of our platform as a business.
IMPORTANT NOTICE: PLEASE READ THESE TERMS OF USE CAREFULLY. THESE TERMS INCLUDES IMPORTANT PROVISIONS THAT MAY AFFECT YOUR RIGHTS, INCLUDING DISCLAIMERS IN SECTION 14, A FORCE MAJEURE CLAUSE IN SECTION 15, LIMITATIONS OF LIABILITY IN SECTION 16, INDEMNIFICATION OBLIGATIONS IN SECTION 17, AND A DISPUTE RESOLUTION CLAUSE IN SECTION 18 THAT REQUIRES YOU TO FIRST ATTEMPT AN AMICABLE SETTLEMENT AND THEN SUBMIT TO THE JURISDICTION OF THE COURTS IN TAURANGA, NEW ZEALAND. THESE TERMS ALSO INCLUDE A WAIVER OF CLASS ACTION RIGHTS. BY DOWNLOADING, ACCESSING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS IN FULL. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE APP OR OUR SERVICES.
Business users must also follow all policies referenced in the Terms of Use, including our Community Guidelines, Cancellation & Refund Policy, and Privacy Policy. These are designed to ensure that all users, including businesses, interact in a safe, lawful, and respectful way.
If you do not agree to these Business Terms in full, you must not use MelloHello for business purposes. If you have questions or need clarification, please contact us at admin@mellohello.net before proceeding.
1. DEFINITIONS
- “Account” means the registered profile created by any user on the MelloHello App, including both personal and business use features.
- “Advertiser” or “Business User” means any person or entity that uses the MelloHello App to promote, advertise, or list a business, product, or service.
- “App” or “Platform” means the MelloHello mobile application made available by Mellohello Limited on Google Play Store and Apple App Store.
- “Business Content” means any text, images, logos, contact details, promotional materials, or media submitted or posted by a Business User for the purpose of promoting a business or service on the App.
- “Business Page” means the profile or listing space created by a Business User on the App to display their business details, advertisements, or promotional content.
- “Business Terms of Service” or “Terms” refers to this set of terms and conditions that govern the use of MelloHello’s business features by any person or entity promoting, advertising, or managing a business on the App. These Terms apply in addition to MelloHello’s general Terms of Use and must be accepted and followed by all Business Users.
- “Company” means Mellohello Limited, a company incorporated in New Zealand under Company Number 9330830, with its registered office at Suite 14980, 17B Farnham Street, Parnell, Auckland 1052, New Zealand.
- “Community Guidelines” refers to the rules and standards published by MelloHello that all users—including Business Users—must follow to maintain a respectful, safe, and inclusive community.
- “Fees” means any applicable charges, subscriptions, or payments required for access to business-related features, including advertising and promotions on the App.
- “Personal User” or “Regular User” means any individual using the App for personal and social purposes and not for business advertising.
- “Services” means all business-related features made available through the App, including but not limited to the creation of business pages, submission of advertisements, and communication tools for Business Users.
- “Terms of Use” refers to the general Terms of Use applicable to all users of the MelloHello App, including Business Users in their individual capacity as personal users.
- “You” or “Your” refers to the individual or business entity using the App for business purposes, including anyone acting on behalf of such business entity.
2. ACCEPTANCE OF THE BUSINESS TERMS OF SERVICE
By creating a business page, submitting business information, uploading advertisements, or using any part of the MelloHello App for business purposes, you hereby represent that:
- You have read, understood, and agreed to be bound by these Terms and any future updates and additions to these Terms, as published from time to time on our App.
- You are of sound mind, at least of 18 years in legal age, located in New Zealand, and otherwise competent to form a binding contract with us. By registering as a Business User, you represent and warrant that you meet all of the foregoing eligibility requirements.
- If you are registering or promoting a business that is not your own (e.g., as an employee, contractor, or agency), you must have the legal right and authority to act on behalf of that business. You must also ensure that all information submitted is accurate and approved by the business owner or authorised representative.
- We must not have previously disabled your account for violation of law or any of our policies.
- You have read, understood, and consented to our Terms of Use, Community Guidelines, Cancellation & Refund Policy, as well as our Privacy Policy statement.
3. ELIGIBILITY
- Legal Capacity: You must have the legal capacity to enter into binding agreements. By using the business features of the App, you confirm that you are not restricted from doing so under any applicable laws or court orders.
- Age Requirement: Only individuals who are at least 18 years old are eligible to register a business page or access the business features on the MelloHello App. We do not permit minors to use these services under any circumstances.
- Business Ownership or Authority: You must either own the business being listed or have full legal authority to act on behalf of the business. If you are an employee, contractor, or agent, you must have proper authorisation to create and manage the business page.
- Compliance with Local Laws: Your business and all its activities must comply with the applicable laws, advertising regulations, and digital platform rules in New Zealand, and in any other region where your services are offered or promoted.
- No Prior Violations: You must not have been previously banned or had an account suspended by us due to a violation of our Terms of Use, Business Terms, Community Guidelines, or for engaging in unlawful or harmful conduct.
- Lawful Business Activity: We only allow businesses that promote legal, ethical, and non-harmful products or services. Businesses involved in gambling, adult content, fake or misleading schemes, or any prohibited industry will not be allowed to operate on the App.
- One Business Page per Entity: Each eligible business may create and maintain only one official business page unless we have provided written consent for multiple listings.
4. ACCOUNT REGISTRATION
- Creating a Business Page: To use the business features of the MelloHello App, you must first create a regular user account and then register for a business page through the designated section of the App. This involves submitting accurate business details, including your business name, description, and contact information.
- Information You Must Provide: When registering your business, you must provide complete and truthful information such as your business name, valid email address, a short “About the Business” section, and optional contact details if you choose to receive messages outside the App. We may request further details like your New Zealand Business Number (NZBN), registration certificate, or other supporting documents to verify your business.
- Accuracy and Updates: You are responsible for keeping your business information accurate and up to date. If any detail changes - such as your contact email or business offering - you must update it in the App promptly. Failure to do so may affect your visibility or access to features.
- Responsibility for Activity: You are responsible for all activities carried out through your business page. If you allow other team members or employees to help manage the page, you remain accountable for their actions. Any breach of these Business Terms by someone acting on your behalf will be treated as a breach by you.
- Multiple Pages and Duplicate Listings: Unless you have received written permission from us, you may not create multiple business pages for the same business or create fake or misleading listings. We reserve the right to remove duplicate or suspicious accounts.
- Right to Refuse or Remove: We reserve the right to reject your business registration or remove your business page if we believe the information provided is false, misleading, incomplete, or in violation of these Business Terms, our Community Guidelines, or any applicable laws.
5. ALLOWED USES OF THE APP AND SERVICES
- Creating and Managing a Business Page: You may create a business page to promote your business, describe your services, and share relevant information such as business hours, offerings, and contact methods.
- Posting Advertisements: You are allowed to post advertisements for your business, products, or services in the designated business areas of the App, provided the content is accurate, lawful, and compliant with these Business Terms.
- Receiving Messages and Enquiries: You may use the App’s messaging tools to receive enquiries from users interested in your business. You can respond to these messages directly through the App or, if you’ve provided alternate contact information, outside the platform.\
- Engaging with Communities Respectfully: You may join and participate in relevant community discussions as a business user, provided your contributions are respectful, add value to the discussion, and are not purely promotional unless allowed by the specific community rules.
- Offering Events or Promotions: You may use the App to share information about events, workshops, or promotional campaigns run by your business, provided these are genuine and clearly described.
- Using Paid Business Tools: If subscribed, you may access business-specific features such as promoted posts, ad placements, or enhanced visibility tools that help you reach more users within the App.
- Updating Business Information: You are encouraged to keep your business details, images, and offerings up to date so that users have accurate and reliable information when engaging with your business.
- Accessing Business Insights: Where available, you may view analytics or insights provided by the App to help you understand the reach and performance of your business content.
6. PROHIBITED USES
- False or Misleading Advertising: You must not post false, exaggerated, or misleading claims about your business, products, services, pricing, offers, or availability. All advertisements must be honest, transparent, and supported by evidence where required.
- Illegal or Unlicensed Businesses: You are not allowed to promote or operate any business that is illegal, unregistered, or unlicensed under applicable laws. This includes businesses that require specific authorisations or government approvals which you do not possess.
- Promotion of Prohibited Products or Services: You may not use the App to advertise adult services, gambling, pyramid schemes, counterfeit goods, weapons, drugs (including prescription drugs), or any other product or service that is harmful, restricted, or illegal under New Zealand law or any applicable regulations.
- Harassment or Misuse of Messaging: You must not use the messaging feature to spam users, pressure them to buy your products, or send repeated or aggressive follow-up messages. Messages must be professional, respectful, and relevant to genuine business interest.
- Unauthorised Use of User Data: You are not permitted to collect, store, sell, or misuse personal information of users who contact you through the App. Any user data must only be used for the intended purpose of responding to their enquiry and must not be used for unsolicited marketing or external contact without consent.
- Posting in Irrelevant Spaces: You must not promote your business in unrelated groups, user communities, or social features of the App unless such promotion is specifically allowed by the rules of that group.
- Infringing Intellectual Property: You must not post logos, images, brand names, or content that you do not have the legal right to use. This includes using another business’s materials, copying content from competitors, or misrepresenting affiliations.
- Multiple Listings Without Approval: You are not allowed to create multiple business pages for the same business, or list the same services under different names, unless you have received written permission from us.
- Bypassing Rules or App Structure: You must not attempt to bypass our business registration process, use fake information, or promote business content through personal accounts to avoid business-specific rules and fees.
- Disrupting App Functionality: You must not use bots, automated tools, or any other technical means to manipulate search results, send bulk messages, scrape data, or interfere with the performance of the App.
- Failure to Disclose Paid Partnerships: If your posts or content include paid endorsements, sponsorships, or affiliate promotions, you must disclose this clearly as required by applicable advertising laws and standards.
7. REPRESENTATION AND WARRANTIES BY THE BUSINESS USERS
- You Have Legal Authority: You represent and warrant that you are legally authorised to create and manage the business page, either as the business owner or someone who has been properly authorised to act on behalf of the business entity.
- Business is Legitimate and Lawful: You confirm that your business is genuine, duly registered (if required), and operates in compliance with all applicable laws, rules, and regulatory requirements of New Zealand and any other relevant jurisdiction.
- Information Provided is Accurate: You warrant that all information you provide, including your business name, contact details, offerings, pricing, and descriptions, is true, accurate, and not misleading. You agree to update this information as needed to keep it current.
- You Have Rights to Use the Content You Upload: You confirm that you own, or have full legal rights to use, all content (such as logos, images, slogans, videos, or promotional material) that you upload to your business page or advertisements. This includes intellectual property rights and usage rights for any third-party materials.
- You Will Comply with All Applicable Policies: You agree to follow these Business Terms, the general Terms of Use, our Community Guidelines, Privacy Policy, Cancellation & Refund Policy, and all other policies issued by Mellohello Limited from time to time.
- No Conflict or Violation: You represent that your use of the App and services does not and will not violate any contract, obligation, or agreement you have with any third party, and does not infringe upon the rights of any other person or organisation.
- You Will Not Misuse User Data: You confirm that any information received from MelloHello users through your business page or communication tools will only be used to respond to genuine enquiries and will not be misused, stored unnecessarily, or shared without proper consent.
- You Accept Legal Responsibility for Your Actions: You acknowledge and agree that you are solely responsible for any claims, complaints, losses, or liabilities that arise from your use of the business features, your content, or your interactions with users.
8. ADVERTISING STANDARDS AND CONTENT GUIDELINES
- Truthful and Accurate Content: All advertisements, business listings, and promotional content you post on the MelloHello App must be truthful, clear, and not misleading in any way. You must not exaggerate, make false claims, or publish content that could confuse or mislead users regarding your products, services, pricing, or availability.
- Compliance with Applicable Laws: Your business content must comply with all applicable laws and advertising standards, including the Fair Trading Act 1986 and the Advertising Standards Authority (ASA) Codes of Practice in New Zealand. You are responsible for ensuring that your marketing and advertising practices meet these legal requirements.
- No Offensive or Harmful Content: Your business page and advertisements must not contain any content that is abusive, defamatory, threatening, hateful, discriminatory, sexually explicit, or promotes illegal activity. Content that is violent, graphic, or harmful to vulnerable individuals will not be tolerated.
- Respecting Intellectual Property: You must only use logos, images, videos, and other promotional materials that you own or have obtained proper permission to use. Do not use third-party brand names, trademarks, or copyrighted materials without legal rights or consent.
- No Promotion of Restricted Services: You are not allowed to promote or advertise adult services, gambling, alcohol, drugs, weapons, pyramid schemes, or any product or service that is illegal or restricted under New Zealand law or our platform policies.
- Clear Disclosures for Sponsored or Paid Promotions: If your content includes a paid partnership, sponsorship, affiliate link, or any other type of paid promotion, you must clearly disclose this in a way that users can understand. Hidden or misleading paid content may be removed.
- No Spam or Excessive Promotions: You must not flood the App or its community spaces with repeated or irrelevant promotions. All advertising must remain within your business page or the areas designated for promotions. Spamming users through private messages or community posts is prohibited.
- Professional and Respectful Presentation: Your business content must be professionally presented, free from offensive language, and consistent with the tone of the platform. Low-quality, blurry, or poorly formatted visuals may be rejected.
- User Safety Comes First: You must not post any content that puts users at risk or encourages unsafe, deceptive, or manipulative practices. Any content that causes harm, spreads misinformation, or leads users to unsafe third-party sites may be removed.
- Right to Review and Remove: Mellohello Limited reserves the right to review, approve, reject, or remove any business content that we believe violates these guidelines, our Community Rules, or applicable law, with or without notice.
9. CHANGES TO FEATURES
Mellohello Limited reserves the right to add, remove, modify, or restrict access to any business-related features or tools on the App at any time, without prior notice. This includes changes to how business pages are displayed, adjustments to advertising formats, the introduction or removal of paid features, updates to analytics tools, or limits on visibility or user interaction. These changes may apply to all users or specific groups and may be temporary or permanent. While we strive to improve the platform continuously, we are not liable for any impact such changes may have on your business operations, reach, or performance. Your continued use of the App after such changes means you accept the updated features and any applicable conditions.
10. INTELLECTUAL PROPERTY
- Ownership of the Platform and Services: All intellectual property rights in the MelloHello App, including its structure, layout, design, features, software, and underlying technology, are owned by Mellohello Limited or its licensors. Nothing in these Business Terms grants you ownership of or rights to our intellectual property, other than a limited, non-exclusive, and revocable license to use the App in accordance with these Terms. You may not reproduce, copy, reverse-engineer, or modify any part of the App without our express written consent.
- Business User Content: You retain ownership of all content you upload to your business page, including logos, promotional images, videos, product descriptions, and business names (collectively referred to as “Business Content”). However, by submitting such content to MelloHello, you grant us a worldwide, royalty-free, non-exclusive license to use, host, store, display, reproduce, and distribute your Business Content on the App and in promotional material, solely in connection with the operation and marketing of the MelloHello platform. This license remains valid until your content is deleted from the App, except where such content has already been shared or relied upon by others.
- You Must Have Rights to the Content You Upload: You confirm that all Business Content you upload is either owned by you or you have secured the necessary rights, licenses, or permissions to use it. This includes images, names, trademarks, music, or written content. You are fully responsible for any intellectual property infringement resulting from your content and agree to indemnify Mellohello Limited for any claims arising from such a violation.
- Prohibited Use of MelloHello Intellectual Property: You are not allowed to use the MelloHello name, logo, design elements, or any other branding without our prior written permission. This includes using our trademarks in your business listings, advertisements, or promotions in a way that could suggest an endorsement or affiliation unless we have explicitly approved it.
- Reporting Intellectual Property Violations: If you believe someone else is using your intellectual property without permission on the App, you may report it to us in accordance with our Intellectual Property Infringement Claims Policy. We take these complaints seriously and may remove content or suspend business pages if violations are confirmed.
11. PRIVACY
In order to see what personal and non-personal information we collect and how we use or store or share the same, please refer to the detailed Privacy Policy statement available on our website and App.
12. FEES AND BILLING TERMS
- Subscription and Paid Features: Certain business features on the MelloHello App may require payment, including the ability to create a business page, post advertisements, boost visibility, or access promotional tools. These features are available only upon payment of the applicable subscription fees or one-time charges, as stated within the App or on our pricing page.
- Free Trial: If we offer a free trial for business features, it is for a limited period only and may be withdrawn or changed at any time without notice. Once the trial period ends, continued access to paid features will require a valid subscription.
- Payment Obligations: By subscribing to any paid business service, you agree to pay the applicable fees using the payment method you provide. All charges are due in advance and are non-refundable except where required by law or explicitly stated by us. If your payment fails or is declined, we may suspend or restrict access to business features until payment is successfully processed. For more information, please refer to our Cancellation & Refund Policy.
- Billing Cycle and Renewals: Subscriptions are typically billed on a recurring basis (e.g., monthly or annually), as selected by you during registration. Unless cancelled, your subscription will automatically renew at the end of each billing cycle, and you authorise us to charge your saved payment method accordingly.
- Changes to Pricing: We reserve the right to change our fees at any time. If we increase the price of a recurring subscription, we will notify you in advance. You will have the option to cancel before the new rates take effect.
- Taxes: All fees listed are exclusive of any applicable taxes, which will be added to your total at checkout based on your billing address and local tax laws.
- No Chargebacks: By using the App’s paid services, you agree not to initiate chargebacks or payment reversals without first contacting us to resolve the issue. Unjustified chargebacks may result in suspension of your account.
13. THIRD-PARTY LINKS
Your business page or content on the MelloHello App may include links to third-party websites, services, or platforms, such as your business website, booking tools, or social media pages. While we allow you to include such links to support your business visibility, you are solely responsible for ensuring that these links lead to lawful, secure, and relevant content. Mellohello Limited does not control or endorse any third-party websites or services and is not responsible for their content, functionality, privacy practices, or any harm or loss resulting from your or a user’s interaction with them. If you include a link in your business profile or advertisement, it must not mislead users, redirect them to harmful content, or collect personal data without proper disclosures. We reserve the right to remove or disable links at our sole discretion if we believe they violate our policies, misrepresent your business, or compromise user safety.
14. DISCLAIMER
By using MelloHello, Business Users acknowledge and agree to the following disclaimers:
- Use of the Platform Is at Your Own Risk: The MelloHello App and its business features are provided on an “as-is” and “as-available” basis. While we strive to provide a reliable and professional environment, we do not guarantee that the App will always be error-free, secure, or uninterrupted. Your use of the App, including all business tools and services, is entirely at your own risk. We disclaim all express and implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- No Guarantee of Results or Visibility: MelloHello offers a platform to help businesses increase visibility, but we do not guarantee any specific outcome such as leads, sales, clicks, or user engagement. Results depend on multiple factors beyond our control, including how your content is presented, market demand, user interest, and competition. You acknowledge that using the App is not a substitute for traditional marketing or business development methods.
- We Are Not Responsible for User Behaviour: MelloHello does not vet or control the conduct of users who engage with business pages. We are not liable for any disputes, harm, cancellations, abusive messages, or unfulfilled enquiries that may result from user interactions. You are solely responsible for how you respond to users and for ensuring that your conduct complies with applicable laws and platform rules.
- You Control Your Business Content: You are solely responsible for the accuracy, legality, and clarity of the content you publish, including any promotional offers, business details, pricing, and descriptions. MelloHello does not review every listing and is not liable for any misinformation or user dissatisfaction caused by your content. We may, at our discretion, remove content that violates our policies or applicable laws, but we are not obligated to monitor all content in real-time.
- No Role in Transactions or Fulfilment: MelloHello is not a party to any transaction, agreement, service delivery, or financial arrangement between you and your customers. We do not facilitate bookings, payments, or refunds, and we are not responsible for service failures, quality issues, pricing disputes, or breach of customer expectations.
- No Legal, Financial, or Professional Advice: Information or guidance shared through the App (including by other users or community members) should not be treated as legal, tax, financial, or marketing advice. You are solely responsible for ensuring your business complies with relevant laws, including advertising regulations under the Fair Trading Act 1986 and the standards set by the Advertising Standards Authority (ASA) in New Zealand.
- External Tools and Links Are Beyond Our Control: If you use external tools, links, or platforms in your business profile (such as websites or booking services), you do so at your own risk. We are not responsible for third-party content, functionality, security, or data use. You must ensure that any link you provide is safe, lawful, and does not mislead users.
- We May Change or Limit Features at Any Time: We reserve the right to change, remove, or suspend any feature of the business services at any time, with or without notice. This may affect your business visibility or access, and we are not liable for any resulting disruption or impact to your business.
- No Obligation to Resolve Disputes: We do not mediate or assist in resolving disputes between businesses and users or between businesses themselves. You are solely responsible for managing and settling any conflict that may arise from your use of the App.
- Survival: This Disclaimer will continue to apply even after your business page is removed or your access to the App ends.
15. FORCE MAJEURE
Mellohello Limited will not be held liable for any delay or failure to perform its business services under these Terms if such delay or failure is caused by events that genuinely prevent us from operating the App or delivering its business features. This includes, but is not limited to, widespread internet outages, critical server or infrastructure failures, denial-of-service (DoS) attacks or other major cybersecurity breaches, power failures affecting our systems, or legal or regulatory restrictions that directly impact our ability to provide or maintain the App. In such cases, certain services may be paused, limited, or suspended without notice, and we will not be responsible for any resulting business interruption, loss of access, or revenue impact.
16. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Mellohello Limited and its directors, employees, contractors, and partners will not be held responsible for any direct, indirect, incidental, special, or consequential losses or damages arising from your use of the MelloHello App as a business user. This includes, but is not limited to, loss of revenue, loss of customers, loss of data, reputational damage, business interruption, missed opportunities, or costs resulting from user disputes, inaccurate listings, failed promotions, or your reliance on any features, insights, or communication tools offered through the App.
We do not accept liability for the actions, behaviour, or content of App users, including false enquiries, harassment, offensive messages, or non-responsiveness. We are not responsible for your interactions with users or for any failure to convert visibility into actual business outcomes.
Additionally, we are not liable for any delay, suspension, or disruption in the availability of the App due to technical errors, system maintenance, third-party service interruptions, cyber incidents, or events beyond our control.
By using the App for business purposes, you understand and agree that you do so at your own risk, and that the App and its features are provided on an “as-is” and “as-available” basis without any guarantees or warranties of performance, accuracy, or availability.
Nothing in these Business Terms excludes liability for death or personal injury caused by our gross negligence, fraud, or any matter that cannot legally be excluded under New Zealand law. If any portion of this section is found to be unlawful, the rest shall remain enforceable.
17. INDEMNIFICATION
By using the business features of the MelloHello App, you agree to fully indemnify, defend, and hold harmless Mellohello Limited, including its directors, employees, affiliates, and service providers, from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) that arise from or relate to:
(i) your use of the App in connection with your business, including your listings, promotions, events, or communications with users;
(ii) your violation of these Business Terms, the general Terms of Use, Community Guidelines, or any applicable laws or regulations;
(iii) any content you upload, including business descriptions, media, or links, that infringes, violates, or misuses the intellectual property, privacy, publicity, or contractual rights of any third party;
(iv) any disputes, misunderstandings, or claims brought by users, customers, or third parties arising from your business offerings, service quality, product delivery, or conduct;
(v) any unauthorised access to or misuse of your business account caused by your failure to keep login credentials secure.
This indemnity applies whether or not a claim is brought directly against you or against Mellohello Limited as a result of your actions or omissions. It remains in effect even after your business account is suspended, removed, or closed.
18. GOVERNING LAW AND DISPUTE RESOLUTION
- Governing Law: The Terms and any dispute arising from the same will be governed by applicable laws of New Zealand, except for its conflict of law provisions.
- Amicable Settlement: If a dispute arises between you and Mellohello Limited, we strongly encourage you to contact us first at admin@mellohello.net so that we can try to resolve the issue informally and in good faith. Most user concerns can be resolved quickly and without the need for formal legal proceedings.
- Injunctive Relief: Nothing specified in Section 18(ii) above shall affect either party's right to apply for an injunctive order of urgent nature from any court of competent jurisdiction.
- Jurisdiction: If the dispute cannot be resolved amicably within the 30-day period, the dispute shall be submitted to the jurisdiction of the courts located in Tauranga, New Zealand.
- No Class Actions: The user and the Company agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, collective, or representative action. Both parties waive the right to participate in or bring class actions.
- Continuation of Service: Pending the resolution of any dispute, the user agrees to continue abiding by all the terms mentioned in these Terms of Use.
19. DISPUTES AMONGST USERS
MelloHello is a neutral platform that enables businesses and users to connect, communicate, and interact independently. We are not involved in, and do not monitor or mediate, any disputes that arise between business users and personal users or between multiple business users. If a conflict occurs - whether related to product or service expectations, cancellations, payment issues, miscommunication, or any form of dissatisfaction - you are solely responsible for resolving it directly with the other party. We do not offer dispute resolution services, issue refunds on behalf of businesses, or intervene in any claims or disagreements between users. By using the App, you agree to release Mellohello Limited from all liability, claims, or demands of any kind arising from or related to disputes between you and any other user of the platform.
20. TERMINATION
- By You: You may choose to deactivate or permanently delete your business page at any time through your account settings or by contacting us at admin@mellohello.net. Terminating your business use will not affect your personal account unless you choose to close that as well. Upon deletion, your business content will no longer be publicly visible, although some data may be retained as required for legal or administrative purposes.
- By Us: We reserve the right to suspend, restrict, or permanently remove your business page or access to business features at our sole discretion, with or without prior notice, if we believe that you have violated these Business Terms, the Terms of Use, Community Guidelines, or any applicable laws. We may also terminate or suspend your access if we believe your business content is misleading, harmful, fraudulent, or damaging to the integrity of the platform.
- Effect of Termination: Upon termination, your business listings, advertisements, and related data may be removed or archived. You will no longer have access to the business tools or analytics, and any active promotions will end immediately. Termination does not exempt you from any outstanding obligations, including unpaid fees or liabilities incurred during your use of the App.
- Survival: The sections relating to intellectual property, limitation of liability, indemnification, dispute resolution, and any obligations intended to survive termination will remain in effect even after your business use of the App ends.
21. NOTICES
All notices or communications required under these Terms must be made in writing. If we need to contact you, we may do so through the email address associated with your MelloHello account, via in-App notifications, or by posting a notice on the App itself. These communications will be considered received by you immediately upon sending (in the case of email or in-App notification) or upon publication (in the case of a posted notice). It is your responsibility to keep your contact details up to date. If you need to send a legal notice to us, you must do so by email to admin@mellohello.net or by post to our registered office at Suite 14980, 17B Farnham Street, Parnell, Auckland 1052, New Zealand. Notices sent to us will be deemed received when confirmed by written acknowledgement or within five business days of delivery if sent by registered post.
22. MISCELLANEOUS
- Independent Legal Advice: By using the App and agreeing to these Terms, you confirm that you understand the contents of these Terms and are entering into this agreement voluntarily. You also acknowledge that you have had the opportunity to seek independent legal advice before agreeing, and that you are not relying on any representations made by us outside of what is written in these Terms.
- Headings: The section titles and headings used in these Terms are only for reference and convenience. They do not affect the meaning or interpretation of any part of the Terms.
- Breach: If you breach any part of these Business Terms of Service, the general Terms of Use, or any related policies, Mellohello Limited reserves the right to take appropriate action, which may include removing specific content, restricting access to certain features, suspending or permanently deleting your business page, or terminating your entire account. Breaches include, but are not limited to, posting false or misleading information, promoting prohibited products or services, engaging in spam or harassment, or violating advertising laws. We may act with or without prior notice, depending on the severity of the breach. In serious or repeated cases, legal action may also be considered.
- Severability: If any part of these Terms is found to be unlawful, invalid, or unenforceable under applicable law, that part will be removed or limited to the extent necessary, and the rest of the Terms will continue to remain in full force and effect.
- Waiver: If we do not enforce a particular right or part of these Terms at any time, it does not mean we are giving up that right. Any waiver must be clearly stated in writing to be legally effective.
- Survival: Any parts of these Terms that are intended to remain in effect even after your use of the App ends - including but not limited to provisions related to liability, disclaimers, indemnity, and dispute resolution - will continue to apply after termination.
- No Third-Party Beneficiaries: Except as otherwise expressly provided in these Terms of Use, there shall be no third-party beneficiaries to these Terms of Use.
- No Assignment: You cannot transfer or assign your rights or obligations under these Terms to anyone else without our prior written consent. We may transfer our rights and obligations to another company as part of a business restructuring, merger, or sale, without needing your consent.
- Entire Agreement: These Business Terms of Service, Terms of Use, Community Guidelines, Cancellation & Refund Policy, and Privacy Policy, and any additional terms and conditions incorporated herein or referred to herein constitute the entire agreement between MelloHello and you, relating to the subject matter hereof, and supersedes any prior understanding or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on our website/App.
- Updates to these Terms: We may update these Terms of Use from time to time to reflect changes in our services, legal requirements, or business operations. When we make changes, we will post the updated Terms within the App or on our website, or may also notify you by email or through a notice in the App. It is your responsibility to review the Terms regularly. By continuing to use the App after the updated Terms have been published, you agree to be bound by those changes. If you do not agree with the revised Terms, you should stop using the App immediately.
